Fort has entered into a non-binding letter of intent (LOI) with Logia USA Inc., a company led by Mr. Yair Harel, founder of the fuel maintenance pioneer Logia Israel Ltd.

The agreement reflects mutual interest in strategically combining resources and technology. Fort anticipates acquiring a 50.1% stake in Logia USA, with a provision for equity rebalancing contingent on performance milestones. Additionally, a credit facility up to $2 million, with an option for an extra $5 million, will facilitate growth and development in the U.S. This could result in equity stakes of up to 85% for Mr. Harel and 15% for Fort, depending on milestone achievements over the next three years.

Since 2006, fuel degradation has posed a significant risk to standby power due to ultra-low sulfur fuels. This issue, more so than hardware failures, often leads to emergency engine failures in data centers. The projected growth of the global data center market from $300 billion in 2026 to $700 billion by 2034 underscores the urgency of fuel integrity solutions.

Logia Israel’s technology offers continuous monitoring and filtration to maintain fuel quality per ASTM D975 standards, ensuring reliable generator performance, which is critical for data center uptime.

The LOI’s potential deals, still subject to negotiations and regulatory approvals, aim to bring Logia’s capabilities to the U.S., with a focus on enhancing the data center sector's resilience.

Several factors must be finalized, including due diligence, regulatory approval from the TSX Venture Exchange, and the signing of definitive agreements. The outcome remains uncertain, but the stakes for improving standby power infrastructure are high.
